Terms & Conditions
These Terms govern access to and use of ReppOut, a B2B SaaS platform for Indian Shopify brands to launch and operate recurring subscription workflows.
Important. By signing up for, accessing, or using ReppOut, you agree to these Terms on behalf of the business, brand, firm, company, or other entity you represent. If you do not agree, do not use ReppOut.
1. About ReppOut
ReppOut is operated by PSYMIL, a partnership firm with registered office at B2-38, Safdarjung Enclave, Main Road, DEVLP Area, 110029, New Delhi, Delhi. GSTIN: 07ABHFP1392E1Z9. ReppOut provides software and operational tooling for Shopify subscription workflows, including storefront subscribe buttons, hosted subscription checkout, payment status handling, Shopify order automation, customer self-service portals, admin reporting, wallet billing, and related support.
2. B2B Use and Eligibility
ReppOut is intended only for Indian Shopify brands and businesses. You must be at least 18 years old and authorized to bind your business to these Terms. ReppOut is not intended for personal, household, or consumer use by end customers.
3. Client Responsibilities
You are responsible for your Shopify store, products, pricing, customer communications, legal notices, customer support, and compliance with applicable law. You must:
- provide accurate business, Shopify, Cashfree, email, domain, deployment, and billing information;
- keep credentials, admin passwords, and access tokens secure and updated;
- configure Shopify buttons, Cashfree webhooks, products, variants, frequencies, and discounts correctly;
- review subscription offers before making them live;
- ensure your products, subscriptions, claims, refunds, cancellations, and customer notices comply with applicable laws and platform rules;
- promptly notify ReppOut of suspected security issues, incorrect charges, broken checkout flows, or unauthorized access.
4. Plans, Fees, and Taxes
ReppOut may offer Basic, Advanced, Pro, or custom plans. Plans may include a monthly fee and a success fee based on successful subscription payments processed through the system. Fees are charged monthly unless otherwise agreed. Prices shown by ReppOut are inclusive of GST unless expressly stated otherwise in a written proposal, invoice, or plan confirmation.
5. Wallet, Top-Ups, and Deductions
ReppOut may operate a prepaid wallet system for client billing. Wallet top-ups are used for plan fees, success fees, and other agreed charges.
- The minimum wallet top-up amount is Rs. 2000.
- Wallet top-ups are non-refundable except for duplicate, failed, erroneous payments, or where ReppOut approves a wallet refund at its discretion.
- Unused wallet balance is not refundable on termination.
- The wallet is not a bank account, deposit account, stored-value instrument for public use, or interest-bearing balance.
- ReppOut may deduct monthly plan fees, success fees, proration charges, manual adjustments, or other agreed charges from the wallet.
- If the wallet balance crosses the allowed negative limit, ReppOut may suspend or block new subscription checkouts until the wallet is topped up.
- Existing renewals, order creation, or operational flows may continue as configured, but ReppOut does not guarantee continuation where payment providers, Shopify, credentials, wallet status, or technical conditions prevent it.
6. Third-Party Services
ReppOut works with third-party services such as Shopify, Cashfree, DigitalOcean, ZeptoMail, Cloudflare, GitHub, Meta Pixel, and other tools used for hosting, payments, communication, deployment, analytics, and operations. ReppOut is not responsible for third-party outages, rule changes, API changes, account restrictions, payment failures, webhook delays, fraud controls, rejected mandates, or service limitations outside ReppOut's control.
7. Customer Payments and Shopify Orders
Client brands use their own Shopify and payment-provider configurations for end-customer subscription transactions. ReppOut helps process events and automate Shopify order creation after verified successful payment events. The client remains responsible for fulfillment, inventory, taxes, invoices, customer support, refunds to end customers, cancellations, and product claims.
8. Support
Support is available Monday to Friday, 1 PM to 9 PM IST, through [email protected]. ReppOut aims to acknowledge support queries within 2 working days after receiving them. ReppOut does not provide a hard uptime commitment or service-level agreement unless separately agreed in writing.
9. Suspension and Restrictions
ReppOut may suspend or restrict access, new checkout creation, admin functionality, wallet operations, or support for reasons including non-payment, negative wallet limit breach, misuse, suspected fraud, legal risk, security risk, inaccurate credentials, third-party account issues, breach of these Terms, or operational safety.
10. Termination
Either party may terminate the ReppOut relationship with 1 month's written notice unless a separate written agreement says otherwise. ReppOut may terminate or suspend earlier for material breach, non-payment, legal risk, security risk, abuse, or unlawful use. On termination, access to ReppOut may be disabled, new checkouts may stop, and unused wallet balance will not be refunded.
11. Data, Privacy, and Confidentiality
Use of personal data is described in the Privacy Policy. Each party may receive confidential information from the other. The receiving party must use reasonable care to protect confidential information and use it only for the purpose of providing, receiving, supporting, or improving ReppOut, unless disclosure is required by law.
12. Intellectual Property
ReppOut, its software, workflows, designs, dashboards, documentation, marks, and related intellectual property belong to PSYMIL or its licensors. Client brands retain ownership of their own brand assets, product information, storefront content, and customer data. You may not copy, resell, reverse engineer, or misuse ReppOut except as permitted by these Terms.
13. Disclaimers
ReppOut is provided on an "as is" and "as available" basis. We aim to provide reliable software and support, but we do not guarantee uninterrupted service, error-free operation, payment success, mandate approval, Shopify order creation in every case, increased revenue, conversion improvement, or compatibility with every third-party change.
14. Limitation of Liability
To the maximum extent permitted by law, PSYMIL and ReppOut will not be liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, third-party service failures, or customer disputes. ReppOut's total liability for direct claims will be limited to the fees paid by the client to ReppOut in the 3 months immediately before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold PSYMIL, ReppOut, and their partners, employees, contractors, and representatives harmless from claims, losses, liabilities, penalties, damages, and expenses arising from your products, store, customer relationships, legal non-compliance, misuse of ReppOut, incorrect configuration, breach of these Terms, or violation of third-party rights.
16. Changes to Terms
ReppOut may update these Terms from time to time. The latest version will be posted on this page with the updated date. Continued use of ReppOut after changes means you accept the updated Terms.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, courts in New Delhi will have jurisdiction over disputes relating to these Terms or ReppOut.
